Terms of Service

These terms govern your use of TPRMly. By creating an account or paying for a subscription, you agree to them on behalf of yourself and the organization you represent.

1. Who we are

TPRMly is web software operated by Seven Wellsprings LLC, a Wyoming limited liability company ("we", "us"). "You" means the organization that holds the subscription and the people it allows to use it.

2. The service

TPRMly helps organizations manage third-party (vendor) risk: taking vendor requests, collecting and reviewing vendor security evidence, scoring risk, and recording security and business decisions with names and dates. TPRMly is in early access. We add and change features over time. TPRMly supports your decisions; it does not make them for you, and it is not legal, audit or compliance advice.

You can cancel anytime; canceling stops future charges. Refunds are described in our Refund and Cancellation Policy.

You may not: break the law using TPRMly; upload material you have no right to share; try to reach another organization's data; probe, scan or test the service's security without our written permission; overload or disrupt the service; or resell the service without our written agreement. We may suspend accounts that do these things.

8. Confidentiality

We treat the content you upload as confidential and do not disclose it except to provide the service, as described in our Privacy Policy, or when required by law.

9. Availability and changes

We work to keep TPRMly available but do not promise uninterrupted service, especially during early access. We may change these terms; if a change is material, we will notify account admins by email before it takes effect. Continuing to use the service after that means you accept the change.

10. Disclaimer

The service is provided "as is" and "as available." To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

11. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the service is limited to the amount you paid us for the service in the 12 months before the claim arose.

12. Governing law

These terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law rules. Any dispute will be heard in the state or federal courts located in Laramie County, Wyoming, and both parties consent to that venue.
